1. Scope of Services
We offer a variety of professional services tailored to your needs. The specifics of each project, including deliverables, timelines, and payment terms, must be agreed upon prior to project initiation. Lack of such agreement may lead to assumptions about the nature of the work, as outlined in these terms.
2. Payment Terms
- Project Agreement: All payment terms will be discussed and agreed upon before any work begins.
- Upfront Payments: For projects with costs, a minimum of 50% (negotiable) of the total fee may be required upfront.
- Unpaid Work: If payment terms are not agreed upon and no payment is made after reasonable follow-ups, the work may be classified as pro bono (complimentary).
3. Pro Bono Work
Pro bono work refers to unpaid services provided at our discretion. In cases where no payment is received or discussed, the following conditions apply:
- Portfolio Rights: We retain full rights to showcase the completed work in our portfolio, website, social media, or other promotional materials.
- Ownership: The intellectual property of the work will remain with us unless a written agreement states otherwise.
- Acknowledgement: We reserve the right to describe such work as a voluntary contribution or a portfolio project.
- Non-Responsive Clients: If a client does not respond to follow-ups for approval or payment within 14 business days, the work will be automatically classified as pro bono.
4. Intellectual Property
- Ownership Transfer: Ownership of the final work is transferred to the client only upon full payment, as agreed in the terms.
- Unpaid Work: Work delivered without payment or agreement remains our intellectual property and may be used at our discretion.
5. Portfolio Usage
We reserve the right to showcase completed work in our portfolio unless explicitly requested otherwise in writing.
- Pro Bono Projects: All pro bono projects will be included in our portfolio and may be used for marketing purposes.
- Confidentiality: If a project is confidential, the client must notify us in writing before the project begins or immediately upon delivery.
6. Non-Disclosure and Confidentiality
We respect the confidentiality of client information. However, unless specifically stated, completed projects may be referenced publicly.
7. NDA for Pro Bono Work
If a client requests a Non-Disclosure Agreement (NDA) for pro bono work to prevent us from sharing details of the project, the following conditions apply:
- The client must provide a LinkedIn recommendation or an appreciation letter acknowledging and validating the services rendered by SB Digital (Sayantani Banerjee).
- The recommendation must come from a verified and legitimate account; spurious or fake accounts will not be accepted.
- In the absence of such validation, we retain the right to showcase the work on our social media, portfolio, or promotional platforms.
8. Revisions and Approvals
- Revisions Policy: The number of revisions will be agreed upon before starting the project. Additional revisions may incur extra charges.
- Non-Approval: If the client fails to approve or provide feedback within the agreed timeline, the work will be considered complete, and pro bono portfolio rights will apply.
9. Dispute Resolution
In case of disputes, we encourage professional dialogue to resolve the matter amicably. If no resolution is achieved, we reserve the right to escalate through legal or mediation channels.
10. Disclaimer
- Complimentary Work: Any work provided without explicit payment terms is done so at our discretion and does not establish a binding agreement for further unpaid services.
- Termination of Services: We reserve the right to terminate services in cases of unprofessional behaviour or non-responsiveness.
11. Amendments to Terms
These terms are subject to updates and changes. Clients will be notified of significant amendments that might impact their projects.
